These Terms of Use (“Terms“) govern your access to and use of the website www.benuehouse.com (the “Website“) and the products and services offered by Innate Technologies Nigeria Ltd. (“Innate Tech“, “we“, “us“, or “our“), trading under the name Benue House.

By accessing our Website, placing an order, or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our Website or services.

1. Definitions

  • “Customer”, “you”, “your” – any person who accesses the Website or purchases products or services from us.
  • “Products” – the electronics and related goods offered for sale.
  • “Services” – installation, after-sales support, and any related services we provide.
  • “Content” – all text, images, graphics, logos, and other material on the Website.

2. Eligibility

To use our Website and services, you must be at least 18 years of age and legally capable of entering into a binding contract. By using the Website, you represent that you meet these requirements.

3. Use of the Website

You agree to use the Website only for lawful purposes. You must not:

  • Use the Website in a way that breaches any applicable law or regulation.
  • Attempt to gain unauthorised access to the Website, its systems, or its data.
  • Introduce viruses, malware, or other harmful code.

  • We provide customers with all necessary information about our products and services prior to purchase, including consultations and reasonable time for decision-making.

5. Pricing and Payment

  • All prices are stated in Nigerian Naira (₦) unless otherwise indicated and are subject to change without prior notice.
  • Prices displayed at the time of order confirmation apply to your purchase.
  • Payment must be made in full through the payment methods provided before an order is processed or dispatched, unless otherwise agreed in writing.
  • We source items from suppliers at the point of purchase; this lean operational model allows us to pass cost savings on to customers.

6. Orders and Order Acceptance

  • Placing an order constitutes an offer to purchase, which we may accept or decline.
  • An order is only confirmed once we issue an order confirmation.
  • We reserve the right to refuse or cancel any order, including in cases of suspected fraud, pricing errors, or unavailability of stock.

7. Delivery

  • Delivery timelines and costs will be communicated at the point of purchase.
  • You are responsible for providing accurate delivery details and for making arrangements to receive your order.
  • You must thoroughly inspect all products at the time of delivery to ensure they are free from defects or damage, and report any issues immediately upon receipt.

8. Installation Services

  • We provide installation services within an agreed scope of work and budget.
  • Innate Tech provides three (3) months of free after-sales support for installation services to resolve issues caused by workmanship or for reasonable adjustments within the original scope of work.
  • Any adjustments, modifications, or additional requests outside the agreed scope or budget will incur extra charges, whether they arise during or after installation.
  • For projects outside Lagos State, after-sales services may be carried out by capable third-party contractors where we do not have sufficient resources to resolve the issue directly.
  • You must provide safe and reasonable access to your premises for service or installation visits as scheduled.

9. Returns, Warranty, and After-Sales Support

  • Products sold by Innate Tech come with manufacturer warranties, fulfilled by the respective manufacturers. We assist in facilitating warranty claims.
  • Returns are only accepted where a product is found to be faulty at the point of delivery, provided the defect is reported immediately and the product is returned in its original packaging and unused condition.
  • Returns are not accepted where a customer changes their mind after payment.
  • Full details are set out in our separate After-Sales Policy, which forms part of these Terms.

10. Customer Responsibilities

You agree to:

  • Inspect all products at the time of delivery.
  • Report any issues or faults immediately upon receipt.
  • Provide access to your premises for scheduled service or installation visits.
  • Follow all usage and maintenance instructions provided.

Innate Tech will not be held responsible for damages caused by misuse, neglect, or unauthorised modifications to products.

11. Intellectual Property

  • All Content on the Website, including the Innate Tech and Benue House names, logos, designs, text, and graphics, is owned by or licensed to us and is protected by applicable intellectual property laws.
  • You may not use, reproduce, or distribute any Content without our prior written consent.

12. Third-Party Links and Services

Our Website may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third party, and we do not endorse them. Your use of third-party websites is at your own risk.

13. Disclaimers

  • The Website and its Content are provided on an “as is” and “as available” basis.
  • While we take reasonable care to keep the Website accurate and available, we do not guarantee that it will be uninterrupted, error-free, or free of harmful components.
  • To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

To the fullest extent permitted by applicable Nigerian law:

  • We shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Website, products, or services.
  • Our total liability arising from any order shall not exceed the amount paid by you for the relevant product or service.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under the Federal Competition and Consumer Protection Act 2018.

You agree to indemnify and hold harmless Innate Tech, its directors, employees, and agents from any claims, losses, or expenses arising from your breach of these Terms or your misuse of the Website, products, or services.

16. Termination

We may suspend or terminate your access to the Website at any time, without notice, if you breach these Terms or engage in conduct we consider harmful to us, our customers, or third parties.

17. Governing Law and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
  • In the event of a dispute, we will first work diligently to resolve the matter amicably through direct discussions.
  • If an amicable resolution cannot be reached, the dispute shall be referred to arbitration in accordance with the applicable arbitration laws of Nigeria (the Arbitration and Mediation Act 2023). The decision of the arbitrator shall be final and binding on both parties.
  • Customers are encouraged to contact us through the channels below to escalate concerns before pursuing any legal remedies.
